MEMPAT AI TERMS OF SERVICE

1. Introduction

Welcome to Mempat AI ("Mempat," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of:

• Mempat AI Platform and Services – Including AI-powered APIs, cognitive computing, stream processing, and interoperability services.
• Mempat Consumer Products (e.g., Watchie-Talkie and Future Devices) – Including AI-powered wearable devices, mobile applications, and related services.

By accessing or using Mempat's services or products, you agree to comply with these Terms. If you do not agree, you must discontinue use immediately.

2. Definitions

For the purposes of these Terms:

• Bypass security measures to gain unauthorized access.
• Use Watchie-Talkie or AI services for surveillance, tracking, or harassment.
• Integrate Mempat's AI into competing products without explicit permission.

Mempat reserves the right to revoke access if users violate these restrictions.

4.3 Additional Restrictions

Users specifically agree NOT to:

• Use our Services in any way that infringes, misappropriates, or violates anyone's rights.
• Automatically or programmatically extract data or AI outputs.
• Represent that AI-generated content was human-generated when it was not.

• Use AI outputs to develop competing AI models or services.
• Rely on AI outputs as a sole source of truth or substitute for professional advice.

5. AI-Specific Terms & Limitations of Liability

5.1 AI-Generated Content Disclaimer

• AI responses are generated probabilistically and may not always be accurate, complete, or reliable.
• AI-generated advice should not be considered a substitute for professional legal, medical, financial, or emergency guidance.
• AI does not provide real-time human moderation, and parental supervision is required for children using AI-powered devices.

5.2 AI Training & Data Usage

• AI interactions are not used for training without explicit consent.
• Mempat does not store or process sensitive biometric or personal data for AI training.

5.3 No Liability for AI Decisions

Mempat is not responsible for:

• Any actions taken based on AI-generated advice.
• Errors, biases, or inaccuracies in AI responses.
• Any direct, indirect, or consequential damages arising from AI usage.

5.4 OpenAI Model Dependencies

Users acknowledge and agree that:

• Mempat's AI services are built upon and dependent on OpenAI's language models.
• Service quality and capabilities are subject to OpenAI's model performance and availability.
• Users must comply with both Mempat's and OpenAI's terms of service and content policies.

• AI safety measures and content filtering are inherited from OpenAI's models.
• Users accept that AI responses may be restricted based on OpenAI's safety protocols.

• Service interruptions may occur due to OpenAI-related updates or policy changes.
• Users agree to tolerate variations in AI behavior resulting from OpenAI model updates.

Users understand that:

• AI capabilities are limited by OpenAI's model constraints and knowledge cutoff dates.

• Mempat cannot guarantee specific AI performance levels due to dependency on OpenAI.

5.7 Content Accuracy & Usage

Users understand and agree that:

• AI outputs may not always be accurate and should not be relied upon as a sole source of truth.
• Users must evaluate all AI outputs for accuracy and appropriateness before use or sharing.
• Users must not use AI outputs relating to individuals for making important decisions about them (e.g., credit, educational, employment, housing, insurance, legal, or medical decisions).
• AI outputs may be similar across different users due to the nature of the technology.
• AI outputs may provide incomplete, incorrect, or inappropriate content that does not represent Mempat's views.

6. Intellectual Property Rights

6.1 Ownership

Mempat retains all intellectual property rights over its AI models, software, APIs, and devices.

Users are granted a limited, non-exclusive, revocable license to use Mempat services in accordance with these Terms.

6.2 Restrictions

Users may NOT:

8. Subscription, Pricing & Future Premium Features

• Currently, Watchie-Talkie software features are free.
• Mempat reserves the right to introduce paid features or subscription-based services in future updates.

9. Indemnification

You agree to indemnify and hold Mempat, its affiliates, officers, and employees harmless from any claims, damages, or liabilities arising from:

• Your misuse of Mempat's AI platform, devices, or software.
• Your violation of these Terms or any applicable laws.
• Any third-party disputes related to your use of Mempat's services.

10. Warranty Disclaimer

• Watchie-Talkie is CE certified for safety compliance.
• Warranty terms follow Singapore consumer protection laws and apply to global sales.
• Warranty details, including coverage duration, exclusions, and conditions, will be provided separately.
• Mempat provides services "as is" without any express or implied warranties.

11. Limitation of Liability

To the fullest extent permitted by law, Mempat shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of data, revenue, or business due to service interruptions.
• User reliance on AI-generated outputs or Watchie-Talkie device functionalities.

12. Force Majeure

Mempat is not liable for any failure to perform obligations due to events beyond its control, including but not limited to:

• Natural disasters, pandemics, government actions.
• Cyberattacks, data breaches, third-party outages.
• Regulatory changes affecting AI services.

13. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Singapore.
• In case of disputes, both parties agree to resolve issues through negotiation, mediation, or arbitration before seeking legal action.

14. Changes to These Terms

Mempat reserves the right to update these Terms at any time. Continued use of services after modifications constitutes acceptance of the revised Terms.

15. Voice Cloning Terms & Liability

Voice Cloning Usage Restrictions

Users agree to the following terms regarding voice cloning features:

• Voice cloning is for personal, non-commercial use only.
• Users must obtain explicit consent from individuals before cloning their voice.
• Distribution or sharing of cloned voice content is strictly prohibited.
• Users are solely responsible for any misuse or unauthorized distribution of cloned voice content.
• Commercial use of cloned voices requires separate licensing and written permission from Mempat.
• Do not use this technology for unauthorized voice cloning, impersonation, fraud, scams, deepfakes, or any illegal activities.
• Users must ensure compliance with local laws and regulations when using voice cloning features and uphold ethical standards.

Legal Liability

• Users assume full responsibility for any legal consequences arising from misuse of voice cloning features.
• Mempat is not liable for any damages or legal issues resulting from unauthorized use or distribution of cloned voices.
• Users agree to indemnify Mempat against any claims arising from their misuse of voice cloning features.
• Violation of these terms may result in immediate termination of service and potential legal action.
• The developers assume no liability for any misuse of this technology.
• We advocate for the responsible development and use of AI and encourage the community to uphold safety and ethical principles in AI research and applications.
